Terms and conditions: Clear rules for using Baruxa.

Last updatedVersion 1.1

Summary for guidance only; the full text prevails.

These terms govern access to and use of Baruxa: a business platform for data, intelligence and decision execution, including connectors, automations and AI agents. By creating an account or subscribing to a plan, you accept these terms.

01Provider

Baruxa is the trade name of Marcos Gonzalez, a self-employed individual, domiciled at Av. Víctor Gallego 4, Zamora, España. Contact email address: [email protected].

02Age and account

Registration is restricted to persons aged 18 or over who are able to represent the company indicated. The user must provide accurate information, keep their credentials safe and report any unauthorised access.

03Service and customer responsibilities

Baruxa connects systems that the customer authorises, transforms and cross-checks data, calculates metrics and allows rules and agents to propose or execute actions in accordance with the permissions, policies and approvals configured. The customer chooses the sources, verifies that it is entitled to connect them, configures minimum permissions, tests the automations and supervises their results. Data, metrics and recommendations depend on the sources, their quality and the configuration.

Baruxa is a decision-support software tool; it is neither an adviser nor the management of the business. It does not replace legal, financial, tax or accounting advice, or the advice of other professionals. Metrics, alerts, forecasts, simulations and recommendations are for guidance only and depend on the connected sources: review them before acting. Do not delegate to the system decisions that the law reserves to qualified persons, or decisions that produce legal or significant effects on individuals, without complying with the applicable safeguards.

04AI agents

Agents act within the capabilities that the customer enables. The customer must define their identity, permissions, policies, limits, approvals and review mechanisms, and stop them if their actions cease to be safe or correct. The use of AI must comply with the rules applicable to the system and to the specific context.

05Customer data and integrations

The customer is responsible for the data it connects or uploads—business records, documents and data relating to its customers, employees or suppliers—and declares that it holds the rights, licences, legal bases and information necessary to process that data with Baruxa. Connect only the data you need for the purpose. Do not include unlawful data or special categories of data, such as health data, without an appropriate legal basis and adequate safeguards. Do not use Baruxa for purposes unrelated to the service.

The customer grants Baruxa a limited, non-exclusive licence, valid only for as long as the service is provided, to host, technically reproduce, transform into the necessary format and display its data to authorised users, for the sole purpose of providing, protecting and supporting the service. Integrations with third parties—stores, payments, advertising, CRM, ERP, data warehouses, data quality tools or AI model providers—are also governed by those third parties’ terms, and the customer must hold the accounts and permissions they require. Baruxa may restrict data or actions following notices or orders, or where required by law. The user’s responsibility for their contributions does not remove Baruxa’s own legal duties or the non-waivable rights of third parties.

06Automated actions, approvals and record-keeping

Baruxa only executes actions in the customer’s systems—for example, sending communications, pausing campaigns, sending payment reminders or preparing orders—using the connections, permissions, spending limits and autonomy modes that the customer configures: suggest, approve with one click, or act autonomously within those limits. The customer can simulate an action before executing it and stop all actions with the master switch. Each action is recorded with who approved it, what was executed, when and with what data, and can be reversed where the target system allows it.

The customer reviews and approves the actions that may affect its money, its customers or third parties, and is responsible for the instructions, limits and approvals it sets. Baruxa does not guarantee that a third-party system will accept, execute or reverse an action, nor is it responsible for changes to such systems’ interfaces or conditions.

07Subscription, payments and renewal

The price, currency and interval are shown before you subscribe. The subscription renews automatically for successive periods of the same interval, at the current price indicated at checkout, plus taxes, unless cancelled. Stripe processes the payment. You can cancel from the billing portal before the next billing date; you will retain access until the end of the paid period. Price changes will be notified in advance and you may cancel before they take effect.

Consumers’ mandatory rights are preserved, including the right of withdrawal where applicable. Nothing in these terms constitutes a waiver of those rights. Cancelling a renewal and withdrawing from the contract are separate rights.

08Availability, notices and liability

The service may be interrupted for maintenance, incidents or failures of external providers. Channel for reporting content or infringements of rights: [email protected]. Where it hosts user content, Baruxa will handle notices in accordance with the applicable legislation.

Each party is liable for its own breaches and for the damage attributable to it, within the permitted limits. The customer is responsible for the lawfulness, accuracy, permissions, instructions and business decisions that it provides or makes with the tool. Baruxa does not guarantee commercial results and does not assume the professional management of the business. No clause excludes liability that the law does not allow to be limited, including Baruxa’s own liability, consumer rights, data protection, personal injury or wilful misconduct, where applicable.

09Ownership, end of service and governing law

Baruxa and its licensors retain their rights in the platform and trade marks; the customer receives a non-exclusive right of use while the account is active. On closing the account, the customer may export the available data. The data will then be returned or deleted in accordance with the instructions, the data processing agreement and legal retention obligations.

Mandatory Spanish and European legislation applies. Consumers retain the place of jurisdiction and the other rights conferred on them by law.

10Relevant legislation

Depending on the specific activity, the following may apply: the General Data Protection Regulation (GDPR) and Ley Orgánica 3/2018; the LSSI-CE; consumer legislation; the Digital Services Act; the rules on intellectual property and trade secrets; the Data Act (Regulation (EU) 2023/2854) as regards switching providers and data portability; and the AI Act.
